These Terms and Conditions (“Terms”) govern your access to and use of the United eFile website, software offerings, training, support, service bureau and reseller programs, business tools, and related products and services (collectively, the “Services”).
United eFile is operated by United eFile LLC, a wholly owned subsidiary of United Efile Solutions LLC (“United eFile,” “we,” “us,” or “our”).
By accessing our website, creating an account, purchasing a product or service, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Business Use
United eFile primarily provides products and services to tax professionals, tax preparation businesses, Electronic Filing Identification Number (“EFIN”) holders, software resellers, service bureaus, and other qualified business users.
You are responsible for ensuring that you and your business maintain all licenses, registrations, credentials, approvals, EFINs, PTINs, and other authorizations required for the activities you perform.
Purchasing software or services from United eFile does not itself qualify you to prepare tax returns, electronically file returns, participate in bank products, or act as an Authorized IRS e-file Provider.
2. United eFile Services
United eFile may provide or facilitate access to services including:
Professional tax preparation software;
Tax software onboarding and training;
Technical and business support;
Tax business education and resources;
Client workflow and business productivity tools;
Service bureau and software reseller programs;
Websites, CRM, marketing, and related business tools;
Bank-product integrations or access to participating providers;
Seminars, webinars, courses, and other educational programs; and
Other products and services offered by United eFile from time to time.
Specific features, availability, eligibility requirements, and pricing may vary by package, provider, tax season, and customer.
3. Third-Party Software and Services
Some products and services offered through United eFile incorporate, connect with, resell, or provide access to software, financial products, technology, or services supplied by third parties.
Third-party services may be governed by additional agreements, licenses, privacy policies, eligibility requirements, and terms established by those providers.
United eFile does not control all aspects of third-party products or services and is not responsible for changes made by third-party providers, including changes to functionality, availability, pricing, eligibility requirements, processing times, or service terms.
References to third-party companies, products, trademarks, or services do not necessarily constitute an endorsement, sponsorship, partnership, or affiliation unless expressly stated.
4. Software Licenses and Accounts
Software provided through United eFile is licensed, not sold, except where expressly stated otherwise.
Your right to access software is limited to the license, subscription period, authorized users, locations, EFINs, and other conditions applicable to the package you purchase.
You agree not to:
Share account credentials with unauthorized persons;
Circumvent software licensing or security controls;
Copy, modify, reverse engineer, resell, sublicense, or redistribute software except where expressly authorized;
Use another person's or business's credentials without authorization;
Use the Services for fraudulent, unlawful, or abusive purposes; or
Interfere with the operation, security, or integrity of the Services.
You are responsible for maintaining the confidentiality and security of your login credentials and for activity conducted through your account.
5. Customer and Taxpayer Data
Tax professionals are responsible for protecting taxpayer and customer information and complying with applicable privacy, data-security, tax-preparer, and electronic-filing requirements.
You agree to use reasonable administrative, technical, and physical safeguards when accessing, transmitting, storing, or processing sensitive information through the Services.
You are responsible for determining whether you are permitted to disclose or use taxpayer information and for obtaining any consent required by applicable law.
United eFile's collection and handling of personal information is further described in our Privacy Policy.
6. IRS and Regulatory Compliance
United eFile is not the Internal Revenue Service and does not control IRS processing, acknowledgments, refund issuance, EFIN approvals, PTIN issuance, tax-law changes, or government systems.
Customers participating in IRS e-file are responsible for complying with all rules applicable to their provider role and maintaining any required authorizations.
United eFile does not guarantee that an applicant will receive an EFIN, PTIN, bank-product approval, or other governmental or third-party authorization.
7. Bank Products and Financial Services
United eFile may facilitate access to tax-related bank products offered by participating financial institutions or service providers.
Bank products are not issued by United eFile unless expressly stated otherwise.
Enrollment, approval, refund advances, refund transfers, funding amounts, fees, disbursement methods, processing times, and other terms are determined by the applicable provider and may vary by tax season.
United eFile does not guarantee:
Bank-product enrollment or approval;
Refund advance approval or amount;
IRS refund amount or timing;
Funding or disbursement time; or
Approval by any financial institution.
Customers are responsible for reviewing and complying with all applicable provider agreements and disclosures.
8. Service Bureau and Reseller Programs
Participation in a United eFile service bureau, reseller, referral, or similar program may require a separate agreement.
Program eligibility, pricing, commissions, revenue sharing, branding rights, territories, customer ownership, software access, minimum performance requirements, and other program-specific matters are governed by the applicable written agreement.
If these Terms conflict with an executed program agreement concerning that program, the executed program agreement controls for the conflicting provision.
9. Training and Educational Information
United eFile provides training and educational information to assist tax professionals and business owners.
Educational materials are provided for informational purposes and should not be interpreted as individualized legal, tax, accounting, financial, or investment advice.
Tax laws, IRS procedures, financial products, software functionality, and regulatory requirements may change. Users remain responsible for verifying information relevant to a particular return, client, or business decision.
10. Pricing and Payment
Prices are displayed in U.S. dollars unless otherwise stated.
You agree to pay all charges associated with products or services you purchase, including applicable taxes and agreed fees.
United eFile may change pricing for future purchases, renewals, tax seasons, packages, or services. A price change will not retroactively alter a completed purchase except where permitted by an applicable agreement or required by law.
Financing, installment arrangements, or third-party payment services may be subject to additional terms.
11. Refunds and Cancellations
Refund eligibility depends on the product or service purchased, whether software credentials or licenses have been issued or activated, whether onboarding or other services have begun, and any applicable third-party provider restrictions.
The current Refund & Cancellation Policy published in the United eFile Legal Center forms part of these Terms.
Where a product-specific written agreement establishes different refund or cancellation terms, the product-specific agreement controls.
12. Availability and Changes to Services
United eFile works to maintain reliable access to its Services but does not guarantee uninterrupted or error-free operation.
Service availability may be affected by maintenance, internet connectivity, third-party platforms, government systems, banking systems, software vendors, security events, or circumstances outside United eFile's reasonable control.
Features and services may be modified, replaced, discontinued, or updated as technology, provider relationships, regulatory requirements, and business needs change.
13. Intellectual Property
The United eFile name, logos, branding, website content, original training materials, graphics, videos, documentation, and other United eFile-created materials are owned by or licensed to United eFile and are protected by applicable intellectual-property laws.
Third-party names, trademarks, software, and content remain the property of their respective owners.
No rights are granted except those expressly provided through these Terms or another written agreement.
14. Acceptable Use
You may not use United eFile's website, software, systems, or Services to:
Commit or facilitate fraud;
Submit false or unauthorized tax returns;
Access taxpayer information without authorization;
Introduce malicious software or harmful code;
Attempt unauthorized access to accounts, systems, or data;
Violate intellectual-property rights;
Harass, threaten, or impersonate another person;
Violate applicable federal, state, or local law; or
Engage in activity that threatens the security or operation of the Services.
United eFile may suspend or terminate access when reasonably necessary to protect customers, taxpayers, systems, providers, or United eFile.
15. Disclaimers
Except as expressly provided in a written agreement and to the extent permitted by law, the Services are provided on an “as available” basis.
United eFile does not guarantee any particular business outcome, revenue level, number of clients, tax refund, bank-product approval, tax result, regulatory approval, or profitability.
Results depend on numerous factors outside United eFile's control, including the customer's business practices, qualifications, marketing, market conditions, client circumstances, tax law, third-party providers, and government systems.
16. Limitation of Liability
To the maximum extent permitted by applicable law, United eFile and its affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Services.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Any additional limitations applicable to particular software, reseller programs, or other services may be stated in the applicable agreement.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless United eFile and its affiliates, officers, employees, contractors, and agents from claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the Services, violation of these Terms, violation of applicable law, or unauthorized use or disclosure of customer or taxpayer information.
18. Suspension and Termination
United eFile may suspend or terminate access to Services for nonpayment, suspected fraud, security risks, misuse, violation of these Terms, violation of provider requirements, or conduct that may expose United eFile, its customers, providers, or taxpayers to material risk.
Termination does not eliminate obligations that arose before termination.
19. Electronic Communications
By doing business with United eFile electronically, you consent to receive transactional communications, notices, agreements, disclosures, invoices, and other business communications electronically where permitted by law.
Marketing emails and text messages are subject to applicable consent requirements and opt-out rights.
20. Changes to These Terms
United eFile may update these Terms periodically to reflect changes in its Services, technology, provider relationships, or legal requirements.
The revised Terms will be posted with an updated “Last Updated” date. Where required by law or contract, additional notice will be provided.
21. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where federal law or another applicable law controls.
Any mandatory rights available to a consumer or customer under applicable law are not waived by these Terms.
